Sample Contract

1          INTRODUCTION

GSP Enterprises will provide _________ Nuclear Station with the Nuclear Regulatory Commission (NRC) required examination materials under the conditions described in this contract.  The ________ Nuclear Plant Operations Training Section designated person will receive these items. 

 

2          SCOPE OF WORK AND REQUIRED DELIVERABLES

2.1       Definition of Scope

Under the terms of this contract, GSP Enterprises will provide a NRC Examination to be reviewed and approved by the utility prior to or on September 1, 2005.  This product includes the NRC Examination containing; _ Scenarios, _ JPM Sets, _ Written Examinations (RO and SRO).  Included in this agreement is the option at the utility discretion for a representative of GSP Enterprises to accompany the utility to the NRC Regional Offices to facilitate the review and modification of the exam submittal.  The utility is responsible for the actual submittal as outlined in NUREG 1021.  Any requested modifications to the product after the NRC exam review trip to NRC Regional Headquarters will be accomplished at a Time & Materials rate plus travel and expenses.

2.2       Scope of Work

The base effort associated with this project will be to develop an Audit Examination that would be of similar to the NRC exam submittal and develop an NRC examination that meets the requirements of NUREG 1021 including the Quality Assurance paperwork necessary to submit the examination to the NRC.  All materials will be provided to the utility in electronic medium as designated by the utility (WORD) and hard copy.  It is understood that _________ Operations Training will perform further validation and verification of the product in its deliverable format.  After successful validation by the utility, comments will be incorporated by GSP Enterprises. 

_________ Operations Training will designate a single point of contact to coordinate, prioritize, and approve all technical changes, enhancements, scope changes and technical issues.  GSP Enterprises will work with the designated facility representative to ensure that the Operations Training organization is successful and to ensure acceptability and compliance with site and NRC standards. GSP Enterprises will work with the facility contact to coordinate the development and delivery of materials to ensure that site security procedures are adhered to. 

2.3       NRC Examination Development Process

2.3.1   Timeline

GSP Enterprises will provide a product consistent with NUREG 1021 requirements.  The intended schedule would provide _______ Operations Training with the NRC Examinations prior to or on September 1, 2005.  The intended delivery date is contingent on the reference materials being given to GSP Enterprises on the agreed upon date.

The timeline will be as follows: (Example)

March 9, 2005 - GSP Enterprises representative on site for pickup of reference materials.

April 2, 2005, GSP Enterprises representative on site for delivery of NRC Examination Test Outline, Sample written exam questions, sample JPM and sample scenario.

July 15, 2005, GSP enterprises representative will mail deliver the NRC exam draft.

September 1, 2005, GSP enterprises representative on site to deliver the NRC Examinations. 

At an agreed upon date, GSP enterprises representative on site for simulator validation and update of materials (if necessary).

At an agreed upon date, GSP enterprises representative accompany utility to NRC Regional Headquarters (if requested) to facilitate NRC exam review.

 

2.3.2   Required Deliverables

·        Complete set of Plant Reference

·        Number of license candidates and license level (RO, SRO-U, SRO-I)

·        Audit Examination Dates

·        NRC Examination Prep Week Dates

·        NRC Examination Dates

·        NRC Chief Examiner

·        Site Examination Security Procedure (if applicable)

·        Facility Contact

·        Site Procedure Freeze Date (if it site policy to do so)

·        Copy of facility exam scenario bank

·        Copy of facility JPM’s

·        Copy of simulator malfunctions and description, local operator actions, etc.

GSP Enterprises

·        Test outline for NRC Examination

·        Developed NRC examination including required NUREG 1021 forms

·        Simulator validation Assistance (if requested)

·        Assist the utility in NRC Examination Review (if requested)

Costs incurred by GSP Enterprises in carrying out or assisting with implementation of future items outside of this contract will be borne by _________ Nuclear Plant in accordance with specifically written associated agreement(s) between GSP Enterprises and _________ Nuclear Station.

3          SECURITY ISSUES

Security will be implemented IAW Site Specific procedures (if required) or NUREG 1021 at a minimum.  All examination materials will be delivered to the facility contact.

4          PRICE

This GSP Enterprises General Service Agreement (GSA) # GSP NRCEX 05-101 will be used to define the Terms and Conditions for this contract.  The cost of the NRC and Audit Examinations will be provided for a firm fixed price of _______________.  The full amount will be invoiced as follows:

·                    20% of the total cost of the contract due at contract acceptance to cover cost of materials and time to support milestones through outline delivery.

·                    30% of the total cost of the contract due at outline delivery

·                    30% of the total cost of the contract due at delivery of the draft NRC exam materials.

·                    20% of the total cost of the contract (or remaining balance) due at final exam delivery on September 1, 2005.  This fixed price quote includes the deliverables listed in Section 2 above.

 

5                    CONTRACT ACCEPTANCE

The parties affixing their signatures below agree to and accept this contract in its entirety.  Should GSP Enterprises be unable to successfully deliver the required materials by the agreed upon date, the remaining balance at the time of discovery will be forfeited by GSP Enterprises and/or will be reimbursed to _________ Nuclear Station.  Should any other portion of the Contract become null and void, the remaining portions will remain in full effect and money due to GSP Enterprises will be paid in full.  No changes will be deemed valid without written approval by both _________ Nuclear Station Personnel and GSP Enterprises.  The Designated Representatives or the undersigned are hereby authorized to approve those changes.
